Terms of Service For Our Semantic SEO Platform.

These Terms of Service ("Terms") govern your access to and use of Topical OS websites, applications, and related services (collectively, the "Service"). By using the Service, you agree to these Terms.

1. The Service

Topical OS provides software for semantic SEO, topical mapping, audits, and related AI-assisted workflows. Features and limits may change as the product evolves. We may modify, suspend, or discontinue parts of the Service with reasonable notice where practicable.

2. Accounts and security

You must provide accurate registration information and keep your credentials confidential. You are responsible for activity under your account. Notify us promptly if you suspect unauthorized access (using the contact options described on this site or in your billing correspondence).

3. Acceptable use

You agree not to:

• Use the Service in violation of applicable law or third-party rights.
• Attempt to probe, scan, or test the vulnerability of the Service, or breach authentication or security measures, without authorization.
• Reverse engineer the Service except where applicable law expressly permits interoperability copying despite contractual restriction.
• Use the Service to crawl, harvest, or process third-party sites in a way that violates those sites' terms or applicable law, or that imposes an unreasonable load on our systems.
• Resell or redistribute the Service without our written agreement.

4. Your content

You retain rights to content you submit. You grant us a license to host, process, transmit, and display that content solely to provide and improve the Service : including storage in our databases and transmission to subprocessors such as AI providers when you invoke those features.

5. Fees and billing

Paid features (including credits and subscriptions) are billed through Stripe or other payment methods we enable. Prices and taxes are shown at checkout where applicable. Unless stated otherwise, fees are non-refundable except where required by law. You authorize us and our payment processors to charge your selected payment method.

6. Intellectual property

The Service, including software, branding, documentation, and marketing materials, is owned by us and our licensors. These Terms do not grant you any rights except the limited license to use the Service according to these Terms.

7. Third-party services

The Service integrates third parties (including hosting, database, payments, email, monitoring, and AI providers). Your use of those integrations may be subject to their terms and privacy policies.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS FROM AI FEATURES WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY REGULATED OR COMPLIANCE USE WITHOUT HUMAN REVIEW.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER TOPICAL OS NOR ITS SUPPLIERS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THAT PERIOD OR (B) ONE HUNDRED US DOLLARS (US$100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.

10. Indemnity

You will defend and indemnify us against claims, damages, and expenses (including reasonable attorneys' fees) arising from your content, your misuse of the Service, or your violation of these Terms or applicable law.

11. Termination

You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, create risk or possible legal exposure, or if we discontinue the Service. Provisions that by their nature should survive will survive termination.

12. Governing law and disputes

These Terms are governed by the laws applicable to the contracting entity operating Topical OS for your order or account, without regard to conflict-of-law rules. Courts in that same jurisdiction have exclusive venue, except where consumer law requires otherwise.

13. Changes to these Terms

We may update these Terms. If changes are material, we will provide notice in a reasonable manner (for example by email or an in-product notice). Continued use after the effective date constitutes acceptance.
